Partner Program Terms
Effective Date: August 31, 2026
Last Updated: August 31, 2026
These BeautyBind Partner Program Terms & Conditions ("Partner Terms") govern participation in the BeautyBind Partner Program ("Partner Program") operated by Verelium ("Verelium", "BeautyBind", "we", "us", or "our").
BeautyBind is a product operated and owned by Verelium.
By applying to, registering for, accessing, or participating in the Partner Program, you ("Partner", "you", or "your") agree to these Partner Terms.
If you do not agree to these Partner Terms, you must not participate in the Partner Program.
These Partner Terms govern the relationship between Verelium and the Partner. They do not replace or modify the terms applicable to BeautyBind customers, and they do not modify the contractual relationship between Verelium and its payment or Merchant of Record providers.
1. Definitions
For purposes of these Partner Terms:
"BeautyBind"
Means the BeautyBind software, website, platform, products, services, features, content, trademarks, and related services operated or provided by Verelium.
"Verelium"
Means the legal entity operating BeautyBind and the BeautyBind Partner Program.
- Legal entity: Verelium, Obrt za računalno programiranje

The Partner should use the legal company information displayed in the current BeautyBind/Verelium legal notice or company registration records where a legal name, registered address, registration number, or other corporate information is required.
"Partner"
Means an individual or legal entity approved by Verelium to participate in the Partner Program.
"Partner Account"
Means the account or profile used by a Partner to participate in the Partner Program and access referral, commission, and related information.
"Referral Link"
Means a unique tracking URL or other tracking mechanism assigned to a Partner for referring potential customers to BeautyBind.
"Referral Code"
Means an optional unique promotional or attribution code assigned to a Partner.
"Referred Customer"
Means a new BeautyBind customer whose qualifying subscription is attributed to a Partner in accordance with these Partner Terms.
"Qualifying Subscription"
Means a paid BeautyBind subscription attributable to a Partner that satisfies the requirements for commission eligibility under these Partner Terms.
"Commission"
Means the amount payable to a Partner in respect of qualifying revenue generated by Referred Customers.
"Commissionable Revenue"
Means the amount remaining from an eligible customer transaction after applying all applicable transaction-level deductions and adjustments described in Section 7.
"Lifetime Commission Period"
Means the period during which a specific Referred Customer maintains an eligible paid BeautyBind subscription attributable to the Partner.
"Lifetime" does not mean the lifetime of BeautyBind, Verelium, the Partner Program, or the Partner.
"Creem"
Means the third-party Merchant of Record, payment service provider, affiliate, revenue-split, and/or payout provider used by Verelium in connection with BeautyBind, where applicable.
2. Eligibility
To participate in the Partner Program, you must:
- Be at least 18 years old or otherwise have legal capacity to enter into a binding agreement.
- Provide accurate and complete registration information.
- Have the legal authority to enter into these Partner Terms.
- Comply with all applicable laws and regulations.
- Maintain accurate payment and tax information where required.
- Not be prohibited from participating in affiliate, referral, or similar programs under applicable law.
- Not have previously been removed from the BeautyBind Partner Program for fraud, abuse, or material violations of these Partner Terms.
Verelium may approve or reject any Partner application at its discretion.
Approval does not guarantee continued participation in the Partner Program.
Verelium may require additional verification before approving or activating a Partner.
3. Electronic Acceptance
By clicking "Join Partner Program", "Accept", "Agree", or a substantially similar button, checking an acceptance box, signing electronically, or otherwise accessing or participating in the Partner Program after being presented with these Partner Terms, the Partner confirms that they have read, understood, and agree to these Partner Terms.
Electronic acceptance constitutes the Partner's electronic signature and agreement to be bound by these Partner Terms to the extent permitted by applicable law.
The Partner should retain a copy of these Partner Terms for their records.
4. Partner Account
Each Partner may maintain only one Partner Account unless Verelium expressly authorizes otherwise.
You are responsible for:
- Keeping your account information accurate and current.
- Maintaining the confidentiality of your account credentials.
- Protecting access to your Partner Account.
- Ensuring that all activity conducted through your account complies with these Partner Terms.
You must notify Verelium promptly if you believe your account has been compromised or used without authorization.
You may not sell, transfer, assign, or otherwise provide your Partner Account to another person or entity without Verelium's prior written consent.
5. Referral Program
Verelium may provide Partners with unique Referral Links and, where applicable, Referral Codes.
Partners may promote BeautyBind through permitted channels, including:
- Websites
- Blogs
- Newsletters
- Social media
- Videos
- Podcasts
- Educational content
- Industry publications
- Direct business relationships
- Professional communities
- Other channels approved or permitted by Verelium
The Partner must not represent itself as BeautyBind or as an employee, agent, legal representative, or authorized spokesperson of Verelium unless expressly authorized in writing.
Participation in the Partner Program does not create an employment, agency, franchise, joint venture, or legal partnership relationship between Verelium and the Partner.
6. Referral Attribution
6.1 Attribution
A customer will be considered a Referred Customer only when the referral can reasonably and reliably be attributed to the Partner through BeautyBind's or its designated affiliate/payment provider's tracking systems.
Attribution may be based on:
- Referral Links
- Referral Codes
- Affiliate identifiers
- Cookies
- Tracking parameters
- Other attribution mechanisms implemented by Verelium or its service providers
The applicable tracking system's records will generally determine referral attribution.
6.2 Referral Attribution Window
Unless otherwise stated in the Partner Program dashboard, a referral will remain eligible for attribution for 90 days from the date the potential customer first interacts with the Partner's qualifying Referral Link.
If the customer completes a qualifying purchase within the applicable attribution window and the referral is otherwise eligible under these Partner Terms, the purchase may be attributed to the Partner.
Verelium may modify the attribution window prospectively for future referrals.
Changes will not retroactively invalidate referrals that were already properly attributed under the attribution window applicable when the referral occurred.
6.3 Cookie and Tracking Period
Where cookie-based attribution is used, the applicable attribution period will be determined by the Partner Program configuration.
The applicable attribution period may be changed by Verelium prospectively.
Verelium does not guarantee attribution where:
- The customer does not use the Partner's Referral Link or Referral Code.
- Tracking is blocked, deleted, disabled, or otherwise unavailable.
- The applicable attribution period has expired.
- The customer uses another eligible Partner's referral mechanism.
- The customer was already an existing BeautyBind customer.
- The referral results from prohibited or fraudulent activity.
- Attribution cannot reasonably be established.
6.4 Multiple Partners
If multiple Partners claim the same customer, attribution will be determined according to the applicable attribution rules and technical tracking data.
Where the system supports an applicable last-click or other attribution model, that model will be used.
Referral Codes may receive priority over other attribution mechanisms where the Partner Program configuration specifies such priority.
Verelium's determination will be based on available tracking records and applicable program rules.
6.5 Existing Customers
A customer who already had:
- An active BeautyBind subscription;
- A previously created BeautyBind account; or
- An established commercial relationship with BeautyBind
before the applicable referral attribution will generally not qualify as a new Referred Customer.
Verelium may exclude existing customers from Commission eligibility even if they subsequently use a Partner's Referral Link.
6.6 Returning Customers
If a Referred Customer cancels their BeautyBind subscription and later returns, the original Partner attribution may remain valid if:
- The original referral relationship can reasonably be established;
- The customer's original attribution remains associated with the Partner;
- No later eligible Partner referral has replaced the attribution;
- The customer is otherwise eligible under the Partner Program.
Verelium may establish reasonable rules for reactivation attribution and may update those rules prospectively.
7. Commission
7.1 Commission Rate
The standard Partner Program Commission is:
25% recurring lifetime commission
Subject to these Partner Terms, a Partner may receive Commission for qualifying subscription revenue generated by a Referred Customer during the Lifetime Commission Period.
7.2 Commissionable Revenue
The 25% Commission is calculated from Commissionable Revenue, rather than automatically from the customer's headline subscription price.
Commissionable Revenue is the amount remaining from the applicable transaction after deduction of applicable transaction-level:
- Taxes collected in connection with the transaction;
- Merchant of Record fees;
- Payment processing fees;
- Affiliate or partner-program fees;
- Revenue-split fees;
- Other applicable payment-provider or platform fees;
- Discounts;
- Credits;
- Refunds;
- Chargebacks;
- Reversals;
- Failed or cancelled transactions;
- Other transaction-level deductions actually applied to the relevant transaction.
The Partner is entitled to:
25% of the Commissionable Revenue
The exact deductions applied to a transaction may vary depending on the payment method, customer location, currency, product, transaction type, payment provider, applicable tax requirements, refunds, chargebacks, or other transaction characteristics.
Verelium may use the transaction and settlement records supplied by Creem or another applicable payment/Merchant of Record provider when determining Commissionable Revenue.
7.3 No Fixed Monetary Commission Guarantee
The Partner acknowledges that 25% applies to Commissionable Revenue and therefore the Commission may differ from 25% of the advertised customer subscription price.
Verelium does not guarantee any fixed monetary amount per customer.
The Partner should not advertise a fixed Commission amount unless that amount has been expressly approved by Verelium.
7.4 Lifetime Commission
Subject to these Partner Terms, Commission continues for the Lifetime Commission Period of the Referred Customer.
The Lifetime Commission Period ends when the relevant customer permanently ceases to maintain an eligible paid BeautyBind subscription.
"Lifetime" refers to the lifetime of the qualifying customer subscription relationship and does not mean that:
- The Partner Program must operate indefinitely;
- BeautyBind must continue offering the same plans indefinitely;
- The Partner will receive Commission after a customer permanently leaves BeautyBind;
- The Partner is entitled to Commission from customers who were never validly attributed to the Partner.
7.5 Plan Changes
If a Referred Customer changes, upgrades, downgrades, or otherwise modifies their BeautyBind subscription, Commission will be calculated according to the qualifying Commissionable Revenue generated by the applicable subscription.
7.6 Discounts and Promotions
Commission may be reduced or eliminated where a transaction involves:
- Promotional discounts;
- Coupons;
- Credits;
- Free periods;
- Promotional subscriptions;
- Refunds;
- Partial refunds;
- Chargebacks;
- Cancellations;
- Other reductions or adjustments to the amount actually retained from the transaction.
8. Creem and Payment Processing
BeautyBind uses Creem and/or other third-party payment and Merchant of Record services to process customer transactions and, where applicable, Partner commissions and payouts.
Creem currently provides Merchant of Record, payment, tax, affiliate, revenue-split, and payout functionality. Its applicable fees and payout rules are governed by Creem's own current Terms of Service and Buyer Terms, as applicable.
8.1 Creem Affiliate Platform Terms
BeautyBind uses Creem's affiliate platform for referral tracking and/or Partner payouts.
Partners may be required to create and maintain a Creem affiliate account and comply with the terms and requirements applicable to Creem's affiliate platform.
The current Creem Affiliate Program documentation is available at: https://docs.creem.io/features/affiliate-program
Creem's applicable requirements may include referral tracking, KYC verification, payout procedures, minimum payout thresholds, payout schedules, supported payout methods, and other operational requirements.
Creem's requirements may change from time to time. Partners are responsible for complying with the requirements applicable to their Creem account.
The Creem Affiliate Program documentation does not replace these BeautyBind Partner Terms. These Partner Terms govern the relationship between Verelium and the Partner, while Creem's applicable terms (including its Terms of Service) govern the Partner's use of Creem services.
8.2 Creem Services
Where applicable, Creem may:
- Process customer payments;
- Issue customer invoices;
- Handle applicable indirect taxes;
- Process refunds and chargebacks;
- Track affiliate referrals;
- Calculate and distribute affiliate commissions;
- Perform identity and compliance verification;
- Process Partner payouts.
The Partner acknowledges that:
- Creem may require the Partner to create and maintain an account;
- Creem may require identity, tax, business, or compliance verification;
- Creem may delay, suspend, reverse, or withhold payments where permitted by its applicable terms or applicable law;
- Creem may apply its own fees;
- Creem may use its own currency conversion and payout mechanisms;
- Creem's records may be used to determine transaction and payout information.
The Partner is responsible for complying with any Creem terms that directly apply to the Partner's use of Creem services.
Nothing in these Partner Terms modifies the contractual relationship between Verelium and Creem.
If there is a conflict between these Partner Terms and Creem's separate terms governing Creem services, the applicable Creem terms govern the Partner's relationship with Creem, while these Partner Terms govern the Partner's relationship with Verelium.
9. Payouts
Verelium does not process Partner payouts directly.
Partner payouts are made by Creem acting as the Merchant of Record and affiliate platform provider. Creem handles referral tracking, commission calculation, and payout disbursement. To receive payouts, Partners must create and maintain a Creem affiliate account and complete any required identity, tax, or compliance verification.
The applicable payout schedule, minimum payout threshold, payout methods, verification requirements, hold periods, processing fees, tax documentation, and other payout conditions are determined solely by Creem and may change from time to time.
Partners should review Creem's current requirements before requesting a payout:
- Creem Affiliate Program documentation: https://docs.creem.io/features/affiliate-program
- Creem Terms of Service: https://www.creem.io/terms
- Creem Buyer Terms: https://www.creem.io/buyer-terms
Verelium is not responsible for delays, restrictions, fees, reversals, withholding, or failures caused by Creem or any other payment or affiliate provider, except to the extent required by applicable law. Verelium cannot override Creem's payout decisions, timing, or verification requirements.
The Partner must provide accurate payout and tax information in their Creem account.
10. Taxes
The Partner is responsible for determining and paying any direct taxes applicable to Commission received through the Partner Program.
Creem or another Merchant of Record may handle applicable indirect taxes associated with customer transactions.
The Partner remains responsible for its own:
- Income taxes;
- Corporate taxes;
- Self-employment taxes;
- Withholding obligations;
- Reporting obligations;
- Other applicable taxes.
Verelium does not provide tax, accounting, or legal advice.
The Partner should obtain independent professional advice regarding its tax obligations.
11. Verification, KYC and Compliance
Partners may be required to complete identity, tax, business, sanctions, anti-fraud, or other verification procedures required by Creem, Verelium, or another applicable payment provider.
The specific documents and information required may vary depending on the Partner's identity, jurisdiction, legal status, payout method, and applicable regulatory requirements.
Participation and payout eligibility may be suspended until required verification is completed.
Verelium may refuse, suspend, or terminate participation where reasonably necessary to comply with:
- Applicable law;
- Sanctions requirements;
- Anti-money-laundering requirements;
- Payment-provider requirements;
- Fraud prevention requirements;
- Regulatory requirements.
12. Permitted Promotional Activities
Partners may promote BeautyBind using truthful, accurate, and non-misleading content.

- Industry publications;

All promotional content must comply with applicable advertising, consumer-protection, privacy, and disclosure laws.

- Use BeautyBind trademarks in a misleading manner.
- Offer unauthorized discounts or promotions.
- Create unauthorized coupon codes.
- Engage in any activity that violates applicable law.
14. Self-Referrals
Partners may not generate Commission through purchases made by:
- The Partner;
- The Partner's immediate household;
- A company or entity controlled by the Partner;
- An entity in which the Partner has a controlling interest;
- Other arrangements primarily designed to generate Commission for the Partner rather than acquire a genuine independent customer.
Verelium may approve legitimate business arrangements in writing where appropriate.
15. Paid Advertising
Partners must obtain prior written approval from Verelium before conducting paid advertising campaigns that use BeautyBind's brand or trademarks.
Without prior written approval, Partners must not:
- Bid on BeautyBind trademarks;
- Bid on BeautyBind brand keywords;
- Bid on misspellings of BeautyBind;
- Use BeautyBind trademarks in advertisement headlines;
- Use BeautyBind trademarks in advertisement copy;
- Use BeautyBind trademarks in display URLs;

This restriction applies to platforms including, but not limited to:
- Google Ads;
- Microsoft/Bing Ads;
- Meta Ads;
- TikTok Ads;
- Other paid search, social, display, or advertising platforms.
Verelium may approve specific campaigns in writing.
16. Coupon, Discount and Deal Websites
Partners may not create, advertise, distribute, or claim unauthorized:
- Discount codes;
- Coupons;
- Promotional codes;
- Special offers;
- "Exclusive" deals;
- Cashback offers;
- Price reductions;
unless those promotions have been expressly provided or approved by Verelium.
Partners must not advertise a discount that does not actually exist.
17. Search Engine Optimization
Partners may create legitimate, useful content mentioning BeautyBind.
Partners must not use:
- Automated spam websites;
- Private blog networks;
- Link schemes;
- Hidden links;
- Keyword stuffing;
- Doorway pages;
- Automatically generated low-quality pages designed primarily to manipulate search rankings;
- Other deceptive search-engine manipulation techniques.
Partners must not attempt to damage BeautyBind's search rankings or reputation.
18. Email Marketing
Partners may promote BeautyBind through email only where the Partner has a lawful basis to send the communication.
Partners must comply with applicable laws governing:
- Commercial email;
- Electronic communications;
- Marketing consent;
- Unsubscribe mechanisms;
- Sender identification;
- Advertising disclosures.
Partners must not:
- Purchase email lists for BeautyBind promotion;
- Send unsolicited bulk email;
- Use deceptive subject lines;
- Misrepresent the sender;
- Hide the commercial nature of the message;
- Claim that BeautyBind endorsed the email unless authorized.
19. Social Media
Partners may promote BeautyBind through social media provided that:
- The content is truthful;
- Required affiliate or advertising disclosures are provided;
- Platform rules are followed;
- The Partner does not impersonate BeautyBind;
- The Partner does not use fake engagement;
- The Partner does not manipulate referral tracking.
Where required, Partners must clearly disclose their commercial relationship with BeautyBind.
Examples include:
"This post contains a BeautyBind referral link."
or:
"I may earn a commission if you subscribe through my link."
The Partner is responsible for determining the disclosure requirements applicable to its jurisdiction, audience, platform, and content.
20. Editorial and Media Partners
Beauty publications, magazines, websites, newsletters, podcasts, and other media organizations may participate in the Partner Program.
Participation does not require or guarantee:
- Editorial coverage;
- Publication;
- Product reviews;
- Rankings;
- Recommendations;
- Interviews;
- Features;
- Other editorial treatment.
Partners must not represent affiliate compensation as evidence that BeautyBind has purchased, required, or controlled editorial coverage.
Editorial opinions must remain independent and must not be presented as official BeautyBind statements.
Where required, the commercial relationship must be disclosed clearly.
21. Affiliate and Advertising Disclosure
Partners are responsible for making appropriate disclosures regarding their relationship with BeautyBind.
Where the Partner receives financial compensation for recommending BeautyBind, the Partner must clearly disclose the relationship where required by:
- Applicable law;
- Advertising standards;
- Consumer-protection requirements;
- Platform rules;
- Regulatory guidance.
Disclosures should be:
- Clear;
- Conspicuous;
- Understandable;
- Close enough to the relevant promotional content to be noticed.
Verelium does not provide legal advice regarding disclosure requirements.
22. Earnings and Business-Result Claims
Partners must not make unsupported claims regarding:
- Expected Partner earnings;
- Customer earnings;
- BeautyBind revenue;
- Booking increases;
- Customer growth;
- Cost savings;
- Business growth;
- Return on investment;
- Other financial or business outcomes.
Partners must not state or imply that using BeautyBind guarantees a particular business result.
Any material earnings or performance claim must be supported and approved by Verelium before publication.
23. BeautyBind Trademarks and Marketing Materials
Verelium grants Partners a limited, non-exclusive, non-transferable, revocable license to use approved BeautyBind trademarks, logos, screenshots, marketing materials, and other assets solely to promote BeautyBind under the Partner Program.
Partners must:
- Use approved assets where available;
- Follow BeautyBind brand guidelines;
- Avoid modifying trademarks in misleading ways;
- Avoid creating confusion regarding ownership or affiliation.
Partners may not:
- Register BeautyBind trademarks;
- Register confusingly similar trademarks;
- Register domains containing BeautyBind trademarks without permission;
- Create social media accounts intended to impersonate BeautyBind;
- Sell BeautyBind branding or assets;
- Grant third parties rights to BeautyBind materials.
The license automatically ends when the Partner's participation in the Partner Program ends.
24. Domains and Social Media Accounts
Partners may not register or operate:
- Domains;
- Subdomains;
- Social media accounts;
- Usernames;
- Pages;
- Groups;
- Profiles;
that use "BeautyBind", "Verelium", or confusingly similar names in a way that could reasonably suggest official ownership or endorsement.
This does not prohibit legitimate editorial or review content that truthfully refers to BeautyBind.
25. Content Created by Partners
Partners retain ownership of their original content.
Where a Partner voluntarily submits content directly to Verelium for possible use in BeautyBind marketing, the Partner grants Verelium a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and adapt that submitted content for BeautyBind marketing purposes, unless otherwise agreed in writing.
The Partner represents that it has the necessary rights to provide such content.
26. Data Protection and Privacy
Partners must comply with applicable privacy and data-protection laws in relation to their own promotional activities and any personal data they collect or process.
Partners must not:
- Collect personal information unnecessarily;
- Sell personal information obtained through BeautyBind referrals;
- Share customer information with unauthorized third parties;
- Attempt to access BeautyBind customer accounts;
- Use personal information for unrelated purposes without an appropriate legal basis.
Affiliate tracking performed by BeautyBind, Creem, or other service providers is governed by the applicable privacy and cookie policies of those services.
Partners are responsible for obtaining any consent or establishing any other legal basis required for tracking technologies or personal-data processing performed directly by the Partner.
27. Data Retention
Verelium may retain Partner information for as long as reasonably necessary to:
- Operate the Partner Program;
- Process and document Commission payments;
- Comply with legal, tax, accounting, regulatory, and payment-provider requirements;
- Prevent fraud and abuse;
- Resolve disputes;
- Establish, exercise, or defend legal claims.
Personal data will be retained in accordance with applicable data-protection laws and Verelium's Privacy Policy.
Where applicable law requires a specific retention period, Verelium may retain the relevant information for that period.
28. Confidentiality
Partners may receive confidential information from Verelium.
Confidential information includes non-public:
- Product information;
- Pricing information;
- Business plans;
- Technical information;
- Customer information;
- Financial information;
- Marketing plans;
- Software information;
- Partner information;
- Other information reasonably understood to be confidential.
Partners must not disclose or use confidential information except as necessary to participate in the Partner Program.
This obligation does not apply to information that:
- Is publicly available without breach of these Partner Terms;
- Was lawfully known before disclosure;
- Is independently developed;
- Must be disclosed by law or valid legal process.
29. Verification and Audit Rights
Verelium may review Partner activity where reasonably necessary to:
- Verify compliance with these Partner Terms;
- Investigate suspected fraud or abuse;
- Investigate attribution manipulation;
- Verify Commission eligibility;
- Investigate complaints regarding promotional activity;
- Comply with legal, regulatory, or payment-provider requirements.
The Partner must reasonably cooperate with such investigations and provide information reasonably necessary for Verelium to determine compliance.
Verelium will use reasonable efforts to limit requests to information relevant to the matter being investigated.
This does not give Verelium a general right to inspect unrelated private business information.
30. Fraud and Abuse
Verelium may investigate suspected fraudulent or abusive activity.
Examples include:
- Fake referrals;
- Self-referrals;
- Duplicate accounts;
- Artificial traffic;
- Automated registrations;
- Stolen payment methods;
- Manipulated attribution;
- False advertising;
- Misleading promotional claims;
- Spam;
- Chargeback manipulation;
- Attempts to circumvent Partner Program rules;
- Attempts to overwrite another Partner's attribution.
Verelium may suspend or terminate a Partner Account while investigating suspected abuse.
Commission associated with fraudulent or invalid activity may be withheld, reversed, or cancelled.
31. Attribution Manipulation and Circumvention
Partners must not interfere with, manipulate, overwrite, replace, redirect, or otherwise attempt to alter:
- Referral attribution;
- Tracking cookies;
- Referral codes;
- Affiliate identifiers;
- Another Partner's attribution;
- BeautyBind's tracking systems.
Partners must not use technical methods designed primarily to obtain Commission for customers they did not genuinely refer.
32. Commission Disputes
A Partner should notify Verelium of any suspected:
- Commission calculation error;
- Attribution error;
- Missing referral;
- Incorrect reversal;
- Other Commission-related discrepancy
within 60 days after the relevant transaction or Commission information becomes available to the Partner.
Verelium may investigate the issue using available transaction, attribution, and payment-provider records.
Claims submitted after this period may be rejected to the extent permitted by applicable law.
Nothing in this section limits rights that cannot legally be waived.
33. Currency Conversion
Where a customer transaction or Partner Commission is processed in a currency different from the Partner's payout currency, the applicable payment or payout provider may perform currency conversion.
The Partner acknowledges that:
- Exchange rates may vary;
- Conversion fees may apply;
- The final payout may differ from a direct conversion using a public exchange-rate source.
Verelium does not guarantee a particular exchange rate.
34. Suspension and Termination by Verelium
Verelium may suspend or terminate a Partner's participation if:
- The Partner violates these Partner Terms;
- The Partner violates applicable law;
- The Partner engages in fraud or abuse;
- The Partner damages BeautyBind's or Verelium's reputation;
- The Partner misuses BeautyBind intellectual property;
- The Partner engages in prohibited advertising;
- The Partner creates material legal, security, financial, or reputational risk;
- A payment provider requires termination or restriction;
- The Partner fails required verification;
- Verelium discontinues the Partner Program.
Where reasonably possible, Verelium may provide notice for non-material violations and allow a reasonable opportunity to correct the violation.
Immediate suspension or termination may occur for serious violations, including:
- Fraud;
- Illegal activity;
- Security abuse;
- Serious trademark misuse;
- Material deception;
- Serious reputational harm.
35. Termination by Partner
A Partner may terminate participation at any time by contacting Verelium or using the available account termination mechanism.
Termination does not automatically invalidate Commission that was legitimately earned before termination.
36. Commission Rate Changes
Verelium may change the standard Commission rate prospectively for new referrals.
Unless otherwise required by law or agreed with the Partner, a Commission rate applicable to a Referred Customer at the time that customer becomes a qualifying Referred Customer will remain applicable to that Referred Customer for the applicable Lifetime Commission Period, subject to these Partner Terms.
A change to the Commission rate will therefore not automatically reduce the Commission applicable to customers who were already validly attributed to the Partner before the effective date of the change.
Verelium may, however, discontinue or reverse Commission associated with:
- Fraud;
- Abuse;
- Invalid referrals;
- Chargebacks;
- Refunds;
- Attribution manipulation;
- Material violations of these Partner Terms.
37. Lifetime Commission After Voluntary Termination
If a Partner voluntarily leaves the Partner Program and has not violated these Partner Terms, legitimate Commission from qualifying Referred Customers may continue for the applicable Lifetime Commission Period.
This is subject to:
- Continued qualifying subscription;
- Valid attribution;
- Refunds;
- Chargebacks;
- Reversals;
- Applicable payment-provider rules;
- Applicable law.
If the Partner is terminated due to fraud, abuse, material breach, unlawful conduct, or other serious misconduct, Verelium may discontinue future Commission associated with the Partner's account.
38. Effect of Customer Cancellation
When a Referred Customer permanently cancels their qualifying BeautyBind subscription, Commission from that customer stops when the applicable subscription and Commissionable Revenue cease.
If the customer later returns, attribution will be handled under Section 6.6.
39. Assignment, Subcontracting and Change of Control
The Partner may not sell, transfer, assign, sublicense, delegate, or subcontract its Partner Account or material rights or obligations under these Partner Terms without Verelium's prior written approval.
A Partner may engage ordinary employees or service providers to assist with its promotional activities, provided that:
- The Partner remains fully responsible for their actions;
- Their activities comply with these Partner Terms;
- They do not receive or control the Partner Account unless authorized;
- The arrangement does not circumvent these Partner Terms.
A Partner that is a legal entity must notify Verelium of a material change in ownership or control that would reasonably affect the identity of the person or entity participating in the Partner Program.
The Partner may not sell, transfer, or assign its Partner Account or Partner Program rights to another person or entity without Verelium's prior written approval.
Verelium may assign these Partner Terms in connection with:
- A merger;
- Acquisition;
- Corporate restructuring;
- Sale of assets;
- Transfer of the BeautyBind business.
40. No Guarantee of Earnings
Participation in the Partner Program does not guarantee any particular level of:
- Traffic;
- Referrals;
- Customers;
- Revenue;
- Commission;
- Business results.
Partner earnings depend on the Partner's activities, audience, referrals, conversion rates, customer retention, and other factors outside Verelium's control.
41. Independent Contractor
The Partner is an independent contractor.
Nothing in these Partner Terms creates:
- Employment;
- Agency;
- Franchise;
- Joint venture;
- Fiduciary relationship;
- Legal partnership.
The Partner has no authority to:
- Enter contracts on behalf of Verelium;
- Make commitments on behalf of Verelium;
- Bind Verelium;
- Make warranties on behalf of Verelium;
- Represent that it has authority to act for Verelium.
The term "Partner Program" describes the commercial referral relationship only.
42. No Exclusivity
Unless otherwise agreed in writing, the Partner Program is non-exclusive.
Partners may promote other products or services.
Verelium may work with other Partners, affiliates, publications, influencers, consultants, and marketing channels.
43. Intellectual Property
Verelium and its licensors retain all rights, title, and interest in:
- BeautyBind software;
- BeautyBind trademarks;
- BeautyBind logos;
- BeautyBind website;
- BeautyBind content;
- BeautyBind designs;
- BeautyBind technology;
- BeautyBind documentation;
- Verelium trademarks;
- Proprietary information.
Nothing in these Partner Terms transfers ownership of Verelium or BeautyBind intellectual property to the Partner.
44. Disclaimer
